Acceptance of Terms
By creating an account, accessing the MediBridgeX platform, or using our APIs, you agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use the platform.
Service Description
MediBridgeX provides a healthcare data interoperability platform delivered as a Software-as-a-Service (SaaS). Our services include, but are not limited to:
- FHIR R4 API Gateway for standardised health data exchange
- HL7 v2.x Message Pipeline for legacy system integration
- Data Transformation Engine for format conversion and mapping
- Developer tools, API documentation, and sandbox environments
Account Responsibilities
- You are responsible for maintaining the confidentiality of your account credentials, API keys, and access tokens.
- You are responsible for all activity that occurs under your account, whether or not authorised by you.
- You must notify MediBridgeX immediately at security@medibridgex.com if you suspect any unauthorised access to your account.
- You must not share API keys or credentials with unauthorised third parties.
Data Ownership
- We act solely as a data processor (under GDPR / DPDPA) or Business Associate (under HIPAA) on your behalf.
- Upon termination of your account, you may export all your data within a 30-day grace period.
- After the 30-day export window, all data associated with your account will be permanently and irrecoverably deleted from our systems.
Acceptable Use Policy
You agree not to:
- Use the platform for any purpose that is unlawful or prohibited by these Terms
- Attempt to reverse-engineer, decompile, or disassemble any part of the MediBridgeX platform
- Conduct automated scraping, crawling, or load testing against the API without prior written permission
- Transmit malware, viruses, or any code designed to disrupt, damage, or interfere with the platform
- Conduct penetration testing or security assessments without explicit written authorisation from MediBridgeX
- Exceed your subscribed API rate limits or attempt to circumvent rate-limiting controls
Service Level Agreement (SLA)
99.99%
Monthly Uptime Guarantee for Core API Infrastructure
Uptime is calculated as the total number of minutes in the calendar month, minus any scheduled maintenance windows communicated at least 48 hours in advance.
Service Credits
If the monthly uptime falls below the guaranteed SLA, eligible clients may request pro-rated service credits applied to the following billing cycle.
SLA Exclusions — The SLA does not apply to downtime caused by:
- Force majeure events (natural disasters, government actions)
- Client-side misconfigurations, bugs, or network issues
- Third-party service outages outside of MediBridgeX's reasonable control
- Scheduled maintenance with prior notice
Fees & Payment
- Subscription fees are billed monthly or annually, depending on your chosen plan.
- Payments are accepted in INR (₹) for Indian clients, USD ($) for US and international clients, GBP (£) for UK clients, and EUR (€) for European Union clients.
- All fees are exclusive of applicable taxes (GST, VAT, or sales tax), which will be added where required by law.
- Late payments may result in suspension of services after 15 days of written notice.
Limitation of Liability
To the maximum extent permitted by applicable law:
- MediBridgeX's total aggregate liability for any claims arising out of or relating to these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
- MediBridgeX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- MediBridgeX is not liable for the accuracy, completeness, or legality of health data provided by the client or their end users.
Indemnification
You agree to indemnify, defend, and hold harmless MediBridgeX, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use or misuse of the platform
- Your violation of these Terms or any applicable law
- Any third-party claim related to health data you processed through the platform
Termination
- Either party may terminate the subscription with 30 days' written notice to the other party.
- MediBridgeX reserves the right to terminate your account immediately, without prior notice, for material breach of these Terms, non-payment exceeding 30 days, or use of the platform for illegal activities.
- Upon termination, you will have a 30-day window to export your data. After this period, all data will be permanently deleted.
Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
🇮🇳 Indian Clients
Any disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996 at a mutually agreed location in India.
🌍 International Clients
Any disputes shall be resolved through arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The seat of arbitration shall be Singapore.
Modifications to These Terms
We may update these Terms from time to time. For material changes, we will notify registered users via email at least 30 days before the changes take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms.
